Opening remarks and agenda

• Meeting opened with acknowledgment of traditional landowners, emergency procedures, and welcome from Chair Samantha Hogg, outlining the meeting's purpose regarding the proposed scheme of arrangement with CRH.

• Purpose was to vote on the proposed acquisition of all shares not owned by Barro Group by CRH ANZ Pty Ltd via a scheme of arrangement.

• Only independent shareholders, proxies, corporate representatives, and attorneys could vote or speak.

Board and executive committee updates

• Board members and executive team were present, with one director joining via video and another delayed.

• Chair confirmed holding open proxies and would vote undirected proxies in favor of the scheme.

• Adbri Independent Directors unanimously recommended voting in favor of the scheme, with each director voting their shares accordingly.

Scheme overview / Strategic initiatives and plans

• Scheme implementation deed signed with CRH to acquire all shares not owned by Barro Group.

• If approved, independent shareholders to receive AUD 3.20 per share, representing a 41% premium to the undisturbed share price and within the independent expert's valuation range.

• Barro Group to remain a 42.7% shareholder, with CRH acquiring the balance.

• The future structure will be a joint venture between CRH and Barro Group, with majority overseas ownership.

• CRH has declared this is its best and final offer in the absence of a competing proposal.
