Executive summary
Entered into a definitive agreement for acquisition by affiliates of Kingswood Capital Management and Forager Capital Management for $3.65 per share in cash, valuing the company at approximately $260 million including debt.
The transaction provides a 162% premium to the unaffected stock price on May 19, 2025, and a 54% premium to the 30-day VWAP as of December 12, 2025.
The deal is structured as a statutory plan of arrangement under the Business Corporations Act (British Columbia) and is expected to close in the first half of 2026, subject to customary approvals.
Upon closing, shares will be delisted from the TSX and NASDAQ, and the company will cease to be a reporting issuer in the U.S. and Canada.
Voting matters and shareholder proposals
Approval requires at least 66% of votes cast by shareholders present or by proxy, and a simple majority excluding certain related parties as per Multilateral Instrument 61-101.
Directors, executive officers, and Forager Fund, L.P., holding a combined ~20.9% of shares, have entered into voting support agreements to vote in favor of the transaction.
A special meeting will be called for shareholders to vote on the arrangement.
Board of directors and corporate governance
The board and its Strategic Transactions Committee, after a comprehensive review and fairness opinions from Truist and Evans & Evans, unanimously recommend shareholders vote in favor of the transaction.
Directors and officers are subject to customary support and voting agreements.
